Terms and Conditions

XRAYAI operates an AI-powered website diagnostic and analysis platform (Platform) that lets you scan a website domain and receive an AI-generated diagnostic report.

By accessing or using the Platform, you (Customer, you, and your) agree to these Terms and Conditions and a binding contract is formed between us. If you are accessing the Platform on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these Terms.

Reports and our service

Free reports. You can get a Free Report by entering a website domain name on the Platform. No registration is needed.

Paid reports and subscriptions. To get a paid report or subscribe to our Subscription Service, complete the relevant order or subscription form on the Platform. Your order is confirmed when we process your payment and you receive a confirmation email.

Additional product terms. Our website https://xrayai.online provides further details on the reports and Subscription Services available. Certain services may have a minimum term or other product-specific terms. See our website for further details.

User accounts. You may create an Account on the Platform. Creating an Account is optional for Free Reports and One-Off Reports. It is required to subscribe to the Subscription Service: users who are not authenticated when initiating a subscription will be redirected to log in or register before checkout proceeds. Three authentication methods are supported: Google sign-in, passwordless email magic link, and email plus password. You may link or change your authentication method from your Profile at any time. If you used the Platform before Accounts were introduced, you may claim your existing records by completing an email ownership verification via magic link.

What you can and cannot do

What you can do. Subject to your compliance with these Terms, you may access and use the Platform to scan a website domain and receive AI-generated diagnostic reports for your personal use or internal business purposes, and in accordance with any instructions or guidelines we publish.

Your team. If you are a company or organisation, you may allow your employees and relevant service providers to use the Platform on your behalf. You are responsible for ensuring they comply with these Terms and you are liable for their use of the Platform.

What you cannot do. You may not use the Platform for any illegal, harmful or abusive purpose. For example, you may not:

  • Scrape, bulk-scan or extract data from the Platform by automated means or otherwise use the Platform in a way that exceeds reasonable individual use or places an unreasonable burden on our systems.
  • Resell, sublicense, or otherwise make the Platform available to third parties for their own benefit.
  • Reverse engineer, decompile, disassemble or otherwise attempt to discover or derive any source code, algorithms, prompts, methods or techniques embodied in the Platform (except to the extent such restriction is prohibited by applicable law).
  • Use the Platform in a way that causes damage to or impairment of its availability or accessibility.
  • Upload anything containing viruses, malware or other harmful code.
  • Monitor the availability of the Platform or conduct security or penetration testing without our prior written permission.
  • Use the Platform for any unlawful purpose or in a way that infringes anyone's rights.

Security

Please take reasonable steps to protect your access to the Platform and your Account (if you have one). You must keep your Authentication Credentials confidential and must not share Account access with any other person. You are responsible for all activity conducted through your Account, whether authorised by you or not, except where you have notified us promptly of a security incident. Please let us know immediately if you become aware of any unauthorised use of or access to your Account or any security incident.

2A. User Account Security and Responsibilities

Your responsibilities. You must keep your Authentication Credentials confidential at all times. You must not share your Account or permit any other person to use it. We are entitled to treat all activity conducted through your authenticated session as authorised by you.

Compromised accounts. If you believe your Account has been compromised, you must notify us immediately and take steps to secure your Account, including changing your password, revoking Google access where applicable, or contacting us to invalidate active sessions. We may suspend or terminate an Account if we reasonably believe it has been compromised or is being used in breach of these Terms.

Session logging. For security and fraud prevention purposes, we log certain session metadata when you log in, including your IP address and device information. Refer to our Privacy Notice for further details.

Changes to the Platform

Maintenance. We may update or carry out maintenance on the Platform at any time. We will do our best to give you reasonable advance notice of any material changes, but this may not always be possible. We will aim to ensure that any changes during a paid Subscription Period do not materially reduce the Platform's core features.

Discontinuation. We may discontinue the Platform or our services at any time, but if we do, we will give you at least 30 days' advance notice and refund any prepaid, unused fees. See clause 11 (Termination).

Price and payment

Free reports. Free Reports are available at no cost.

Subscriptions: Refer to the subscription options and pricing on our website at /pricing.

Billing. For paid reports or subscriptions, you agree to pay the applicable fee at the time of purchase. For subscriptions, we will automatically charge your payment method at each renewal unless you cancel beforehand. You are responsible for all applicable taxes, including GST. If your payment fails, we will use reasonable efforts to notify you and may suspend your access until payment is received.

Currency. All payments are in Australian dollars (AUD) via the payment method available on the Platform.

Price changes. We may change our fees from time to time. If we increase the Subscription Fee during your Subscription Period, we will give you at least 30 days' notice by email before the change takes effect. Any increase will apply from your next renewal period, so you can cancel if you do not agree.

Cancellations and refunds

Your cancellation rights. If you select a Subscription Service that has a minimum Subscription Period (for example, of 2 or 12 months), you may not cancel during this minimum Subscription Period. After the minimum Subscription Period expires, you may cancel at any time by clicking the cancellation link in any monitoring email, by managing your subscription from the Profile screen (if you have an Account), or by emailing us at support@xrayai.com. For all other subscriptions, you may cancel your subscription at any time. If you cancel, you will continue to have access to the Subscription Service until the end of your current Subscription Period.

No refund for voluntary cancellation. If you cancel your order for a One-Off Report, we do not refund the One-Off Report Fee. If you cancel your Subscription Service, no pro-rata or other refund of Subscription Fees will be provided for the remainder of the Subscription Period. This clause 5 does not affect any refund rights you may have under applicable law (including the Australian Consumer Law), or any refund to which you are entitled under clause 11 (Termination) or clause 12 (Changes to these Terms).

Disclaimers

Our Platform and Reports are provided "as is" and "as available." To the fullest extent permitted by law, we make no warranties of any kind, express, implied or statutory, including any warranty of merchantability, title, fitness for a particular purpose, or non-infringement.

About our reports. Reports are generated using third-party AI tools based on publicly available information. We do not independently verify the accuracy, completeness, relevance or reliability of any data sources or information provided in the Report.

When you use the Platform, you understand and agree that:

  • Reports are for general information only and do not constitute professional advice. You should seek independent advice before making decisions based on a Report.
  • Revenue, traffic or other estimates in a Report are indicative only. Do not rely on the Report as an accurate representation of actual or potential outcomes.
  • You should review Reports for accuracy and suitability before relying on them.
  • We are not responsible for the performance, availability or output of our Third-Party AI Providers, and these providers may change from time to time.
  • Third-party referrals. If a Report identifies, recommends or refers you to a third-party expert or service provider, we do not endorse or guarantee their qualifications or services. Any engagement with a third party is at your own risk.

Liability

Australian Consumer Law. Nothing in these Terms excludes, limits or modifies any guarantee, condition, warranty, or any other right or remedy you have under the Australian Consumer Law that cannot be excluded, limited or modified at law. Our liability for a failure to comply with a consumer guarantee is limited to re-supplying the relevant Report, or the cost of re-supplying it, to the extent permitted by law. You may be entitled to seek a refund and in some cases compensation under applicable consumer protection law.

Limitation of liability. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, including loss of profit, revenue, data, reputation, goodwill or opportunity, even if we have been advised of the possibility of such loss. Our total liability to you for any claim arising under these Terms is limited to the greater of the total fees you paid to us in the 12 months before the claim arose, or AU$500.

Indemnity

You indemnify and hold harmless XRAYAI, its officers, directors, employees and agents from any costs, losses, liabilities and expenses (including reasonable legal costs) arising from any third-party claim relating to your use of the Platform in breach of these Terms, except to the extent caused by our own gross negligence or wilful misconduct.

Data

Your data. You own the data you submit to the Platform (such as domain names and email addresses).

Licence to use your data. By using the Platform, you grant us a licence and right to access, process and use your data to provide our services. We may also anonymise or aggregate your data for product improvement and business purposes after your use of the Platform ends.

Data retention. After your use of the Platform ends or if your Account is suspended, we are not obliged to retain your data and may delete it.

Account deletion. You may delete your Account at any time from the Profile screen. On deletion, we will delete or de-identify your personal Account data (including your name, email address, Authentication Credentials, and session data) within a reasonable period, typically 30 days. Scan results and scoring data associated with your Account may be retained in anonymised or aggregated form for product improvement purposes; this data cannot be used to identify you after de-identification. Where we are required by law to retain certain records, we will do so for the minimum required period and then delete them. Note: deleting your Account does not automatically cancel any active Stripe subscription. You should cancel your subscription before deleting your Account, or contact us to confirm cancellation.

Session data. When you log in to your Account, we collect and store session metadata including your IP address, browser and device type, and session timestamps for security and fraud prevention purposes. Session data is retained for a limited period consistent with our Privacy Notice. Session tokens are stored in hashed form and are never exposed in API responses or logs.

Our data. We own all data generated through the operation of the Platform and the provision of our services. We may use this data for any purpose, including to improve our products and services, develop and make available insights and reports from aggregated and de-identified data sets.

Intellectual Property Rights

Our IP. We and our affiliates own all rights, title and interest in and to the Platform, Documentation and Reports. You may only use our name or logo with our prior written consent.

Your licence to use Reports. We grant you a perpetual, non-exclusive, royalty-free licence to use the Reports we generate for your personal use or internal business purposes.

Feedback. We appreciate your feedback. If you share comments or suggestions with us, we may use them without restriction or payment to you.

Trade marks. You must not use our name, trade marks or branding without our prior written consent.

Privacy and Promotional Material

Our Privacy Notice explains how we collect, use and protect your personal information. By using the Platform, you agree to the terms of our Privacy Notice, available at /privacy.

If you provide us with your email address in connection with your use of the Platform, you consent to us sending you promotional emails and other marketing communications. You can opt-out at any time by clicking "unsubscribe" in the email we send you or contact us at support@xrayai.com.

Termination

Your right to terminate. You are free to stop using the Platform at any time. Section 5 explains your rights to cancel a Subscription Service and refunds.

Our right to suspend or terminate. We may suspend or terminate your access and use of the Platform if:

  • You breach these Terms and do not remedy the breach within 14 days of us notifying you (or immediately if the breach cannot be remedied).
  • We are required to do so by law.
  • Your use of the Platform could cause harm to us, other users, or anyone else.

Refunds on our termination. If we terminate because we have decided to discontinue the Platform or offering the service, we will refund any prepaid unused Subscription Fees on a pro-rata basis and any One-Off Report Fees for Reports not yet received. If you terminate because you do not agree to a change in these Terms, we will refund your prepaid unused fees.

What happens when your access ends. When your access to the Platform ends for any reason, you must stop using the Platform. The clauses of these Terms that by their nature survive, including clauses 6 (Disclaimers), 7 (Liability), 8 (Indemnity), 9 (Data), 10 (Intellectual Property Rights), 11 (Termination) and 14 (General), will continue to apply.

Changes to these Terms

We may update these Terms from time to time. We will give you at least 30 days' advance notice of any changes that materially affect your rights, either by email or by posting a notice on the Platform. All other changes take effect as soon as we post them. If you do not agree to a change, you may cancel your subscription before the change takes effect and receive a refund of any prepaid unused fees.

Continuing to use the Platform after a change takes effect means you accept the updated Terms.

General

Assignment. You may not assign or transfer your rights or obligations under these Terms.

Entire agreement. These Terms are the entire agreement between you and XRAYAI about the Platform and our services. These Terms replace any prior agreements between us on the same subject.

Governing law. These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the non-exclusive jurisdiction of the courts of New South Wales.

Force Majeure. We are not responsible for delays or failures caused by or arising from events outside our reasonable control.

Notices. Notices must be sent by email. Notices to us should be sent to support@xrayai.com. We will contact you using the email address you provide when placing an order or subscribing.

No agency. Neither party is intended to act as agent of the other or be authorised in any way to bind or to commit the other party to any obligation.

Severability. If any part of these Terms is found to be invalid or unenforceable, the remaining Terms will continue to apply.

Waiver. Our delay or failure to enforce any part of these Terms is not a waiver of our right to do so later.

Definitions

Account means a registered user account created on the Platform that links your Authentication Credentials to your scan history, reports, and subscription records.

Authentication Credentials means the login method or methods you have linked to your Account, which may include an email address and password, a Google OAuth identity, or a passwordless magic link email address.

Dashboard means the authenticated screen on the Platform showing your scan history, score trends across domains, subscription status and next scan dates, and account management functions.

Profile means the account settings screen accessible to authenticated users, allowing management of Authentication Credentials, email communication preferences, subscriptions, and account deletion.

Free Report means a free summary diagnostic report generated by the Platform upon scanning a domain.

One-Off Report means a full diagnostic report generated by the Platform and delivered to you upon payment of the One-Off Report Fee.

One-Off Report Fee means the fee payable for a One-Off Report, as published on the Platform from time to time.

Platform means the cloud-based AI-powered website diagnostic and analysis platform provided by XRAYAI through the XRAYAI Website.

Report means a Free Report, One-Off Report or any other diagnostic report generated by the Platform.

Service Data means: (i) data generated, produced or collected through the operation and use of the Platform; and (ii) the output of any analytics of such data, including de-identified data sets regarding the performance, usage or results obtained from use of the Platform.

Subscription Fee means the recurring fee payable for the Subscription Service, as published on the Platform from time to time.

Subscription Period means the subscription period you select when subscribing to the Subscription Service.

Subscription Service means our recurring subscription service, providing automated periodic scanning of a website domain and delivery of Reports by email for the duration of the Subscription Period. Access to the Subscription Service requires an Account.

Third-Party AI Providers means the third-party large language model and artificial intelligence service providers used by the Platform to generate Reports, as updated by XRAYAI from time to time.

User Data means all data and information you submit to or store in the Platform, including domain names submitted for scanning, email addresses, display names, Authentication Credentials (stored in hashed or tokenised form), linked third-party authentication identifiers (such as a Google account identifier), and session data, but excludes Service Data.

XRAYAI (also referred to as we, us and our) means XRAYAI Pty Ltd ACN 695 780 173.

XRAYAI Website means the website accessible at https://xrayai.online, including any mobile application released by XRAYAI for the Platform.
